By downloading, accessing, or using the Searcher Live application (“App”), you enter into an agreement with Searcher Seismic Pty Ltd (ACN 117 264 347) (“Searcher”, “we”, “our”, or “us”) on these Terms and Conditions (“Agreement”).

If you do not agree to these Terms, you must not use the App.

Searcher Live provides real-time information and intelligence relating to global seismic survey activity, vessel locations, survey operators, exploration activity, industry news, and related upstream energy information (“Service”).

The Service may include:

• Vessel location, speed, and heading information
• Seismic survey tracking
• Survey and operator information
• Industry news and updates
• Exploration intelligence and related datasets

Some information within the Service is sourced from third-party providers, including AIS and vessel tracking providers, news providers, and other external data sources.

Vessel locations are sourced from Seisintel using ExactEarth and the news feed is also sourced from Seisintel.  The vessel thumbnail images are sourced from Shipspotting.com.

Searcher may update, modify, or remove features and functionality at any time.

The Service relies in part on information and services provided by third parties.

Searcher does not guarantee:

• The accuracy, completeness, or timeliness of third-party data
• Continuous availability of external data feeds
• Uninterrupted access to vessel tracking or survey information

Third-party content, trademarks, logos, and intellectual property remain the property of their respective owners.

Searcher will make reasonable efforts to keep the Service operational and accessible. However, to the fullest extent permitted by law, Searcher does not guarantee that the Service will always be:

• Available
• Uninterrupted
• Error-free
• Accurate
• Up to date

The Service may experience outages, delays, maintenance periods, technical interruptions, or data latency.

Searcher reserves the right to modify, suspend, discontinue, or restrict access to any part of the Service at any time without notice or liability.

The Service is provided for general informational and professional intelligence purposes only.

While Searcher aims to provide accurate and timely information, users acknowledge that information within the Service may be incomplete, delayed, inaccurate, or unavailable.

The Service must not be relied upon as the sole basis for:

• Commercial decisions
• Investment decisions
• Operational decisions
• Navigation or marine safety decisions
• Legal or regulatory compliance decisions

Users are responsible for independently verifying information where necessary.

Certain features of the Service may require account registration or authorised access.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity conducted under your account
• Ensuring your account information remains accurate and current

You must not:

• Share account credentials with unauthorised users
• Attempt to gain unauthorised access to the Service
• Circumvent security measures or access restrictions

Searcher reserves the right to suspend or terminate access where misuse, unauthorised activity, or breach of these Terms is suspected.

You agree not to:

• Use the Service for unlawful purposes
• Copy, scrape, harvest, or extract data using automated means
• Redistribute or commercially exploit Service content without written permission
• Reverse engineer or interfere with the App or its infrastructure
• Introduce malicious software or attempt to disrupt the Service

All intellectual property rights in the App and Service, including software, branding, graphics, interfaces, datasets, and content, are owned by or licensed to Searcher.

No rights are granted except as expressly stated in this Agreement.

You may not reproduce, distribute, modify, sell, or commercially exploit any part of the Service without prior written consent from Searcher.

Your use of the App is also governed by Searcher’s Privacy Policy.

Searcher may collect and process certain technical, device, usage, and analytics information in connection with your use of the Service.

By using the App, you consent to such collection and use in accordance with the Privacy Policy.

This Agreement continues until terminated by you or Searcher.

You may terminate the Agreement at any time by:

• Uninstalling the App
• Cancelling any applicable subscription
• Ceasing use of the Service

Searcher may suspend or terminate your access immediately if:

• You breach these Terms
• Your use creates risk or liability
• The Service is discontinued

To the fullest extent permitted by law:

• Your use of the Service is at your own risk.
• The Service is provided on an “as is” and “as available” basis.

Searcher, its officers, employees, directors, affiliates, suppliers, licensors, and agents will not be liable for any:

• Loss of profits
• Loss of business opportunity
• Loss of data
• Business interruption
• Indirect, incidental, consequential, or special damages

arising from or related to:

• Use of or inability to use the Service
• Reliance on information within the Service
• Service interruptions or inaccuracies
• Third-party data failures

Users accessing the Service from outside Australia are responsible for complying with local laws and regulations applicable in their jurisdiction.

Searcher makes no representation that the Service is appropriate or available in all regions.

Searcher may update these Terms from time to time.

Where material changes are made, Searcher may provide notice through the App, website, or by email.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

This Agreement is governed by the laws of Western Australia.

You submit to the exclusive jurisdiction of the courts of Western Australia and applicable Australian courts in connection with any dispute arising from these Terms or the Service.

If you download or access the App through the Apple App Store, you acknowledge and agree to the following additional terms:

• This Agreement is between you and Searcher only, and not with Apple Inc. (“Apple”). Apple is not responsible for the App or its content.
• The licence granted to you for the App is a non-transferable licence to use the App on any Apple-branded product that you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) of the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Searcher (not Apple) will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
• You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance of the Terms and Conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

If you download or access the App through the Google Play Store, you acknowledge and agree to the following additional terms:

• This Agreement is between you and Searcher only, and not with Google LLC (“Google”). Google is not responsible for the App or its content.
• The licence granted to you for the App is a non-transferable licence to use the App on any Android device that you own or control, as permitted by the Google Play Terms of Service.
• Google has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• In the event of any failure of the App to conform to any applicable warranty, you may seek a refund through the Google Play Store in accordance with Google’s refund policies. To the maximum extent permitted by applicable law, Google will have no other warranty obligation with respect to the App.
• Google is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Searcher (not Google) will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
• You represent and warrant that you are not located in a country that is subject to applicable trade sanctions or embargoes, and that you are not listed on any government list of prohibited or restricted parties.
• Google and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance of the Terms and Conditions of this Agreement, Google will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

The App may offer paid subscriptions or in-app purchases that provide access to additional features or content. The following terms apply to any such purchases:

• All purchases are processed by Apple through the App Store. Payment will be charged to your Apple ID account at confirmation of purchase.
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
• You may manage and cancel subscriptions at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period; no refunds are provided for any unused portion of a subscription term, except where required by applicable law.
• Prices for subscriptions and in-app purchases are subject to change. Searcher will provide reasonable notice of any price changes in accordance with applicable App Store policies.
• All sales of digital content are final. Refund requests must be submitted directly to Apple in accordance with its refund policies.

The App may send push notifications to your device to provide alerts, updates, and other information relating to the Service. By enabling push notifications, you consent to receive these communications.

You may manage or disable push notifications at any time through your device’s settings. Disabling notifications may limit certain features of the Service.

Searcher does not guarantee the delivery or timeliness of push notifications, and is not liable for any loss or damage arising from failure to receive a notification.

These Terms constitute the entire agreement between you and Searcher regarding the Service and supersede any prior agreements or understandings relating to the App.
